If you cannot agree to these Terms or do not have the authority to agree to these Terms, do not use the Site.

5. Unsolicited Submissions

Budapest Bakeshop welcomes your comments regarding our products and locations. Unless we specifically request creative submissions, we ask that you refrain from sending us your creative ideas, suggestions, or materials, including recipes, menu concepts, or product ideas (“Unsolicited Submissions”). This policy helps avoid misunderstandings if products or concepts developed by Budapest Bakeshop appear similar to Unsolicited Submissions from others.

 

If you do send Unsolicited Submissions, you agree not to claim any ownership rights over them against Budapest Bakeshop, and you grant Budapest Bakeshop a non-exclusive, perpetual, sublicensable, irrevocable, transferable, royalty-free worldwide license to use the Unsolicited Submissions for any purpose. You waive all rights to seek financial or other compensation for Unsolicited Submissions. Additionally, you release Budapest Bakeshop and its officers, directors, agents, subsidiaries, joint ventures, and employees from any claims, demands, or damages — both actual and consequential — arising from or connected with your Unsolicited Submissions, including all claims for theft of ideas or copyright infringement.

 10. Ordering and Payment

Charges

Payments for products sold through the Site are processed by our third-party payment processor. When you access external websites for payment processing, those entities may have their own terms, conditions, and privacy policies. You agree to provide valid payment information for any order you place. In the event legal action is necessary to collect on balances due, you agree to reimburse Budapest Bakeshop for all reasonable expenses incurred to recover sums due, including legal fees.

 

Order Fulfillment

When you place an order through the Site, Budapest Bakeshop will send you an order acknowledgment to the email address you provide. We reserve the right to refuse or cancel any order for any reason. If your payment has already been processed and we cancel your order, we will issue a credit to your original payment method.

 

Abandoned Orders

If you place an order and do not pick it up, Budapest Bakeshop reserves the right to charge you the full amount due. If you are unable to pick up an order, please contact the location handling your order as soon as possible. Abandoned orders increase food costs and this policy helps us manage those costs and maintain our pricing.

 

12. Gift Cards

Budapest Bakeshop offers gift cards for use at the specific Budapest Bakeshop location purchased for. All gift card sales are final. Gift cards are non-refundable and cannot be redeemed for cash except where required by applicable law. Budapest Bakeshop reserves the right to modify, suspend, or discontinue the gift card program at any time without notice. 13. Email List and VIP List Signup

By submitting your information through any email capture, VIP list, or newsletter signup form on the Site, you consent to receive commercial electronic messages from Budapest Bakeshop, including promotional offers, location updates, event invitations, and other marketing materials, in accordance with Canada’s Anti-Spam Legislation (CASL) and applicable US laws. Every commercial email will include clear identification of Budapest Bakeshop as the sender, a valid mailing address, and a clear unsubscribe mechanism. You may withdraw your consent at any time by clicking the unsubscribe link in any email or by contacting privacy@budapestbakeshop.com. Unsubscribe requests will be processed within 10 business days.

All Budapest Bakeshop franchise locations are independently owned and operated.

All Budapest Bakeshop franchise locations are independently owned and operated by franchisees who have entered into a franchise agreement with Budapest Bakeshop Franchise Corp. Each franchisee is an independent business owner solely responsible for the day-to-day operations of their location, including hiring, employment practices, pricing, and customer experience. Budapest Bakeshop Franchise Corp. is not responsible for the acts, omissions, or obligations of any franchisee or their employees.

 

15. Franchise Information Disclaimer

The information provided on this Site regarding franchise opportunities is for general informational purposes only and does not constitute an offer to sell a franchise, a solicitation of an offer to buy a franchise, or the rendering of franchise advice of any kind. A franchise offering can only be made through the delivery of a Franchise Disclosure Document (FDD) that has been registered and/or approved in jurisdictions where registration or approval is required, and only after compliance with all applicable pre-sale disclosure and waiting period requirements.

IF BUDAPEST BAKESHOP IS FOUND LIABLE FOR ANY DAMAGES DESPITE THE ABOVE, OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION WILL NOT EXCEED THE GREATER OF (A) $25 (CAD) OR (B) THE VALUE OF YOUR MOST RECENT PURCHASE AT BUDAPEST BAKESHOP, UNLESS ANY ALTERNATE MINIMUM AMOUNT IS REQUIRED BY APPLICABLE LAW, IN WHICH CASE THE AMOUNT SHALL BE SET AT THE LOWEST AMOUNT PERMITTED BY APPLICABLE LAW.

Should you encounter any issues with the Site or Content, your sole remedy is to stop using the Site or Content.

 

18. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS BUDAPEST BAKESHOP AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE “INDEMNIFIED PARTIES”) FROM AND AGAINST ANY CLAIMS, LIABILITIES, DAMAGES, JUDGMENTS, AWARDS, LOSSES, COSTS, EXPENSES, AND FEES, INCLUDING REASONABLE LEGAL FEES, ARISING OUT OF OR RELATING TO: (1) YOUR VIOLATION OF THESE TERMS; (2) YOUR VIOLATION OF ANY OTHER PARTY’S RIGHTS, INCLUDING PRIVACY, PUBLICITY, OR INTELLECTUAL PROPERTY RIGHTS; (3) YOUR VIOLATION OF ANY APPLICABLE LAW OR REGULATION; (4) ANY CONTENT OR INFORMATION YOU SUBMIT TO US, INCLUDING UNSOLICITED SUBMISSIONS; OR (5) YOUR USE OF THE SITE, INCLUDING ANY OTHER PARTY’S ACCESS AND USE OF THE SITE THROUGH YOUR ACCOUNT.

Budapest Bakeshop reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.

 

19. Release

IF YOU HAVE A DISPUTE WITH ANOTHER USER OR OTHER PARTY RELATED TO THE SITE, ITS CONTENT, OR BUDAPEST BAKESHOP’S PRODUCTS, YOU RELEASE BUDAPEST BAKESHOP AND ITS OFFICERS, DIRECTORS, AGENTS, SUBSIDIARIES, JOINT VENTURES, AND EMPLOYEES FROM ALL CLAIMS, DEMANDS, AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR RELATED TO SUCH DISPUTES.

20. Dispute Resolution and Governing Law

PLEASE READ THIS SECTION CAREFULLY. IT COULD SUBSTANTIALLY IMPACT YOUR LEGAL RIGHTS.

 

Governing Law

These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles, for all matters involving Canadian residents and Canadian franchise operations.

 

For matters involving residents of the United States or US franchise operations, these Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

 

Informal Resolution

In the event of any dispute or claim arising out of or relating to these Terms or your use of the Site, you agree to first attempt to resolve the matter informally by contacting us in writing at legal@budapestbakeshop.com. If the dispute cannot be resolved informally within 60 days of written submission, either party may pursue formal dispute resolution as set out below.

 

Canadian Residents

Canadian residents agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any disputes not resolved informally.

 

US Residents — Binding Arbitration

US residents agree that any dispute or claim related to these Terms must be resolved through binding and final arbitration on an individual basis, and may not be arbitrated or otherwise pursued as a class action. Arbitration shall be conducted under the American Arbitration Association’s Consumer Arbitration Rules before a single neutral arbitrator. The arbitrator’s decision will be final and binding and may be enforced in any court of competent jurisdiction. Both parties agree to keep the arbitration confidential except as required by applicable law.

 

US RESIDENTS AGREE TO WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THESE TERMS.

Time Limitation on Claims

Any cause of action or claim you have in connection with these Terms or the Site must be initiated within one (1) year from when the claim or cause of action arises.

 

21. Force Majeure

Budapest Bakeshop cannot guarantee continuous, uninterrupted, or secure access to the Site due to factors beyond our control. Budapest Bakeshop is not liable for damages, delays, or performance failures resulting from events such as fire, power failures, natural disasters, war, civil unrest, government actions, labor disputes, supply chain disruptions, or failures of third-party service providers.

 

22. Waiver and Severability

Budapest Bakeshop’s failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision, nor a continuing waiver of that term or condition. Should any provision of these Terms be found invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

 

23. Termination and Survival

Any provision that must survive in order to give proper effect to its intent — including indemnities, perpetual licenses, limitations on liability, disclaimers, representations, and warranties — will survive the expiration or termination of these Terms. Budapest Bakeshop may assign these Terms and all incorporated agreements at our sole discretion.

 

24. Entire Agreement

These Terms, together with our Privacy Policy, Franchise Disclaimer, and all other documents incorporated herein by reference, represent the complete and exclusive agreement between you and Budapest Bakeshop regarding the subject matter hereof, and supersede all prior and current understandings, agreements, representations, and warranties, whether written or oral.
